DYNOTECH DEALER APPLICATION AND AGREEMENT


DynoTech Software ("DynoTech"), invites interested individuals 
and organizations to apply as independent distributors for the 
computer program "BOXES" (Shareware Edition). An accepted entity
will be known as "DynoDealer."  A DynoDealer is an independent
contractor, and is not an employee of DynoTech Software.
DynoDealers are responsible for all taxes and fees associated
with their shareware distribution business.

For those accepted, here's the deal:

1.  DynoTech agrees to pay a commission in US dollars equal to 5%
of total registration payments received as a result of 
DynoDealer's verifiable distribution efforts.

2.  DynoTech agrees to send DynoDealer a copy of BOXES containing
a coded registration form on a 3 1/2" HD diskette, at no charge
to DynoDealer.  DynoTech will use the DynoDealer number shown on
the form to verify DynoDealer's distribution efforts.

3.  DynoTech agrees to send a check, drawn on a US bank, by the
20th of each month for all commissions earned during the previous
month.  However, DynoTech may not send a check until accumulated
commissions exceed $10.  Amounts equal to or less than $10 may
continue to accumulate each month, until the total exceeds $10.
DynoTech will issue appropriate income tax forms and reports, as
required, each calendar year (e.g. Form 1099-misc).

4.  DynoDealer agrees to register the "Champion Edition" of
BOXES.  DynoDealer's registration form must accompany this
application, unless DynoDealer is already a registered owner of
the "Champion Edition" of BOXES.

5.  DynoDealer agrees to use all reasonably available methods to
distribute BOXES.  DynoDealer must distribute all files on the
BOXES diskette received from DynoTech.  Before distribution,
DynoDealer may add one information file, but may not remove any
files from the diskette.  If distributed on diskette, DynoDealer
may sell the diskette for no more than $5.  If distributed in a
compressed form, name the "zipped" file:  BOXES.ZIP.

6.  DynoDealer agrees not to distribute any registered editions
of BOXES (includes any version or edition).

7.  DynoDealer agrees that all disputes will be submitted in
writing to President, DynoTech Software, 1105 Home Avenue,
Waynesville, MO 65583-2231.  The President's decision is final.


If you would like to become a DynoDealer, provide the information 
requested below.  Include, on a separate page, a legible summary 
of your background (resume is OK).  Also, tell why you would make 
a good DynoDealer.  DynoTech will inform you of your status within
two weeks after receiving your application.  If accepted, a copy
of this form will be returned showing your DynoDealer number.
